This Mutual Non-Disclosure Agreement ("Agreement") is entered into as of June 29, 2026 ("Effective Date"), by and between Warren & Associations, and the user executing this document ("Client").
1. Purpose
The parties wish to explore a potential business relationship in connection with premium consulting, software advisory, and data graph implementations. In connection with this evaluation, both parties may disclose confidential information related to their corporate structure, technical configurations, and advisory services.
2. Confidential Information
"Confidential Information" refers to any proprietary information, technical data, trade secrets, or know-how, including but not limited to research, products, services, customers, software development tools, source code, data logs, databases, and business operations disclosed directly or indirectly.
3. Restrictions on Use and Disclosure
Each party agrees to hold the other party's Confidential Information in strict confidence and to take reasonable precautions to protect such information. Neither party shall use the other party's Confidential Information for any purpose other than to evaluate and discuss the potential business relationship.
4. Term
The obligations of confidentiality, non-use, and non-disclosure set forth herein shall survive for a period of five (5) years following the termination or expiration of this Agreement.
5. Governing Law
This Agreement shall be governed by, and construed in accordance with, the laws of the State of Delaware, without giving effect to conflict of laws principles.
